Please read these Terms of Service carefully before purchasing or using any services offered by Anesthesia Staffing Solutions. By completing a purchase or using our services, you agree to be bound by these terms.

1. Services Offered

Anesthesia Staffing Solutions ("Company," "we," "us," or "our") provides two distinct software services:

Staffing App

A scheduling and staffing management application designed for individual anesthesiologist business owners who staff out their own services. Available at sltaffanes.com. Pricing and terms for the Staffing App are governed separately by the terms presented at that application's website.

CME Broker App

An automated compliance service that synchronizes Continuing Medical Education (CME) data from the American Board of Anesthesiology (ABA) website to the CE Broker platform, as required for Texas physician licensure. Two subscription tiers are offered: Full History Import and Quarterly Sync Only.

2. CME Broker Subscription Plans and Billing

2.1 Full History Import Plan — $199 (First Year)

The Full History Import plan is a one-time payment of $199.00 USD for the first year of service. This plan includes:

  • An initial bulk import of all available historical CME data from your ABA account into CE Broker.
  • One (1) full year of automated quarterly CME synchronization from ABA to CE Broker.
  • Automatic renewal at the standard Quarterly Sync Only rate of $99.00 USD per year at the end of the first year (see Section 2.3).

2.2 Quarterly Sync Only Plan — $99/Year

The Quarterly Sync Only plan is a recurring annual subscription of $99.00 USD per year. This plan includes:

  • Automated quarterly synchronization of new CME entries from ABA to CE Broker.
  • Does not include a bulk historical import of past CME data.
  • Suitable for users who have already completed a Full History Import or who do not require historical data migration.

2.3 Automatic Renewal Policy

Important Notice: The Full History Import plan ($199) will automatically convert to and renew as the Quarterly Sync Only plan ($99/year) at the end of the first year of service. By purchasing the Full History Import plan, you authorize this automatic renewal. You will receive an email notification at least 30 days before the renewal date. You may cancel at any time before the renewal date to avoid being charged.

All subscriptions renew automatically unless cancelled. Renewal charges will be billed to the payment method on file with Stripe, our payment processor. You are responsible for ensuring your payment information remains current.

3. Cancellation and Refund Policy

You may cancel your subscription at any time by contacting us at the information provided in Section 9. Cancellation takes effect at the end of the current billing period. You will continue to have access to the service through the end of the period for which you have paid.

Refunds for the Full History Import ($199): Due to the significant computational work involved in the initial bulk data import, refunds for the Full History Import plan are available only if the import has not yet been initiated. Once the historical data import process has begun, no refund will be issued. Please contact us within 48 hours of purchase if you wish to request a refund before the import begins.

Refunds for Quarterly Sync ($99/year): Annual subscription fees are non-refundable after the billing date. If you cancel, your access will continue until the end of the paid period.

4. User Responsibilities and Account Access

To use the CME Broker service, you must provide valid credentials for your ABA account and CE Broker account. By providing these credentials, you represent and warrant that:

  • You are the authorized account holder for both the ABA and CE Broker accounts.
  • You have the legal right to authorize our service to access and transfer data on your behalf.
  • The information you provide is accurate and complete.
  • You will promptly update your credentials if they change.

You are responsible for maintaining the confidentiality of your account information. You agree to notify us immediately of any unauthorized use of your account.

5. Data Privacy and Security

We take the security of your data seriously. We use industry-standard encryption to protect your credentials and CME data during transmission and storage. Your ABA and CE Broker credentials are used solely for the purpose of performing the data synchronization service you have purchased and are never shared with third parties.

Payment processing is handled entirely by Stripe, a PCI-DSS compliant payment processor. We do not store your full credit card number, CVV, or other sensitive payment information on our servers.

6. Service Availability and Limitations

We strive to provide reliable, uninterrupted service. However, we do not guarantee that the service will be available at all times. Service may be interrupted due to scheduled maintenance, system updates, or circumstances beyond our control, including changes to the ABA or CE Broker websites or APIs.

The CME Broker service is designed to sync data on a quarterly basis. The exact timing of synchronizations may vary. We are not responsible for any delays in data appearing in CE Broker that result from technical limitations of third-party systems (ABA or CE Broker).

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY AND COMPLETENESS OF YOUR CME RECORDS IN CE BROKER. THIS SERVICE IS A CONVENIENCE TOOL AND DOES NOT CONSTITUTE LEGAL OR COMPLIANCE ADVICE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANESTHESIA STAFFING SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date at the top. Your continued use of the service after changes are posted constitutes your acceptance of the revised terms. If you do not agree to the revised terms, you must cancel your subscription before the changes take effect.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Texas.
